AGREEMENT TO TERMS

OPERATOR DISCLOSURE

WeParaguay.com is operated by WEPARAGUAY E.A.S. Unipersonal, a company legally
registered in the Republic of Paraguay under Tax ID (RUC: 80165922-1) and
Expediente MDE: 139105, with operations based in Asunción, Paraguay.

By using WeParaguay’s website or services, you agree to these Terms & Conditions. If you disagree with any part, do not use our services.

These terms constitute a binding legal agreement between you (“Client,” “you”) and WE PARAGUAY E.A.S. UNIPERSONAL (“we,” “us,” “our”), a company legally registered in the Republic of Paraguay with Tax ID (RUC: 80165922-1).

1. SERVICES OVERVIEW

WeParaguay provides:
– Paraguay residency application assistance

– Residency category upgrades (Temporary to Permanent)

– Paraguay Entry Visa coordination and invitation services
– Paraguay immigration consulting
– Document preparation and handling
– Paraguay tax residency certificate assistance
– Paraguay business formation
– Connection to licensed professionals in other jurisdictions

We do NOT provide:
– Legal representation unless specifically contracted through a licensed attorney
– Tax advice for countries other than Paraguay
– Guarantees of government approvals
– Immigration services for countries other than Paraguay

2. SERVICE LIMITATIONS

Government Authority: We cannot control or guarantee decisions by:

– Paraguay immigration authorities

– Tax authorities in any jurisdiction

– Banking institutions

– Other government agencies Final decisions rest solely with relevant authorities.

Processing Times: All timeline estimates are projections only. Actual processing times depend on:

– Government workload and procedures

– Policy changes

– Individual case complexity

– Document completeness and accuracy We are not responsible for delays caused by government authorities or client-provided materials.

– Entry Visa processing times for restricted nationalities are subject to Ministry of Foreign Affairs and DNM approval. Estimates of 15–45 days are not guaranteed.

No-Flight Guarantee: Clients applying for an Entry Visa are strictly advised NOT to purchase non-refundable flight tickets until the visa stamp is confirmed. WeParaguay is not liable for any travel-related financial losses due to visa processing delays or denials.

Operational Efficiency vs. Government Performance: While WeParaguay typically completes its in-person filings and on-the-ground process handling within 2–4 working days of the Client’s arrival, this timeframe reflects our internal operational efficiency and does not constitute a guarantee of government processing speed.

Mandatory Travel Flexibility: Due to the factors mentioned above, including potential government system outages or strikes, we strongly recommend that Clients plan for a flexible stay of 7 to 14 days in Paraguay. WeParaguay shall not be held liable for any logistical complications, flight rebooking fees, or accommodation costs resulting from the need to extend a stay beyond the initial 4-day estimate.

Regulatory Changes: Immigration laws, tax regulations, and government procedures may change without notice. All services and advice are based on regulations in effect at time of service delivery.

2026 Processing Notice: Clients acknowledge that as of 2026, processing times for the Cédula de Identidad may be affected by the increased volume of applications following the 2025 regulatory updates.

3. CLIENT RESPONSIBILITIES

You agree to:
– Provide accurate, complete, and truthful information
– Submit requested documents promptly
– Respond to communications within reasonable timeframes
– Comply with all applicable laws and regulations
– Disclose all relevant information about your circumstances
– Notify us immediately of any changes in your situation
– Attend required appointments in Paraguay when necessary

– Monitor the expiration date of your Temporary Residency and notify WeParaguay at least 4 months in advance to begin the Permanent Residency upgrade

Failure to meet these responsibilities may:
– Delay your application
– Result in application denial
– Void refund eligibility
– Result in additional fees

4. FEES AND PAYMENT

Service Fees: All fees must be paid in advance unless otherwise agreed in writing.

Payment Methods: We accept:
– Bank transfers
– Credit/debit cards
– Cryptocurrency (Cryptocurrency payments are final and non-reversible once confirmed on the blockchain).

Currency: Fees are quoted in USD. Exchange rate fluctuations are client’s responsibility.

Non-Refundable Third-Party Costs: The following are non-refundable once incurred:
– Government filing fees
– Document apostille fees
– Translation services
– Background check fees
– Courier and shipping costs
– Third-party professional fees
– Bank fees

These costs are paid directly to third parties on your behalf and cannot be recovered if services are cancelled or applications denied.

5. REFUND POLICY

Refund Policy Scope:

We offer refunds ONLY if:
– We fail to submit your application to Paraguay authorities when contractually obligated, AND
– The failure was due to our error or negligence, AND
– You met all client responsibilities listed in Section 3, AND
– Refund request is made within 30 days of service completion date

We do NOT offer refunds for:

– Government application denials or delays
– Client-caused delays or incomplete information
– Policy or regulation changes
– Third-party costs already incurred
– Services already rendered

– Government processing beyond our control
– Sudden changes in Paraguay’s immigration laws (including Law 6984/2022 and subsequent regulatory updates) that may alter eligibility criteria after an application has been initiated

– Missed deadlines for Permanent Residency upgrades (Law 6984/2022) if the Client fails to initiate the process at least 90 days before the expiration of their Temporary Residency

No refunds are provided once an application has been submitted to any government authority, regardless of outcome.

Special Refund Terms for Entry Visas:

– In the event of a government denial of an Entry Visa application, WeParaguay will refund 50% ($500) of the professional service fee.

– All government fees, translation costs, and invitation letter processing costs already paid to third parties are strictly non-refundable.

– No refund shall be issued if the denial is due to the Client’s criminal record, provision of false information, or failure to prove financial solvency as per government requirements.

Refund Process:
– Submit written request to info@weparaguay.com
– Include service contract number and detailed explanation
– Provide supporting documentation
– We review within 14 business days
– Approved refunds processed within 30 days
– Refunds issued to original payment method

6. CANCELLATION AND TERMINATION

Client Cancellation:
– You may cancel before work begins for full refund (minus any third-party costs already incurred)
– Cancellation after work begins: No refund of service fees; third-party costs non-refundable
– Cancellation must be in writing

Our Termination Rights:

We may terminate services if:
– You provide false or misleading information
– You fail to pay fees when due
– You fail to meet client responsibilities
– You engage in abusive or threatening behavior
– Your case becomes legally or ethically problematic
– Continuing service would violate laws or regulations

Upon termination: No refund of fees for work already performed; all third-party costs remain due.

7. LIMITATION OF LIABILITY

Maximum Liability: Our total liability for any claims related to our services is limited to the amount of service fees you actually paid to us (excluding third-party costs). In no event shall our liability exceed the fees actually paid for the specific service giving rise to the claim.

Excluded Damages: We are not liable for:

– Indirect, incidental, or consequential damages

– Lost profits, business losses, lost contracts, lost
clients, or business opportunities

– Emotional distress or punitive damages

– Government application denials or delays in government processing

– Changes in immigration or tax laws

– Actions or advice of third-party professionals we introduce you to

– Banking relationship denials

– Costs associated with deportation or denied boarding resulting from a Client attempting to enter Paraguay without a required pre-approved visa

– Any outcome beyond our direct control

Travel and Stay Expenses: Under no circumstances shall WeParaguay E.A.S. be liable for any costs incurred by the Client due to government-related delays or the need for an extended stay in Paraguay. This includes, but is not limited to:

  • Flight rebooking or cancellation fees.

  • Costs for additional hotel or short-term accommodation.

  • Local transportation and dining expenses.

  • Any loss of income, wages, business revenue, lost contracts, lost clients, or business losses during an extended stay.

Assumption of Risk: The Client acknowledges that they assume all financial risks associated with their travel arrangements and is encouraged to book flexible or refundable travel options.

No Guarantees: We provide professional services but cannot guarantee application approval, specific processing timeframes, tax treatment by any authority, or banking relationships.

8. INDEMNIFICATION

You agree to indemnify and hold harmless WeParaguay, its owners, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from:
– Your use of our services
– Your violation of these terms
– Your violation of any laws or regulations
– False or misleading information you provide
– Your actions or omissions during the residency process

9. PROFESSIONAL NETWORK

Independent Professionals: When we introduce you to tax advisors, attorneys, or other professionals:
– They are independent contractors, not our employees
– They are responsible for their own advice
– You enter separate agreements with them
– We are not liable for their services or advice

You must engage separate professionals for advice outside our scope of expertise.

10. INTELLECTUAL PROPERTY

Our Content: All website content, materials, logos, and resources are owned by WeParaguay or licensed to us. You may not:
– Copy, reproduce, or distribute our materials
– Use our brand or logo without permission
– Reverse engineer our processes or systems

Your Materials: You grant us license to use documents and information you provide solely for delivering contracted services.

11. CONFIDENTIALITY

We protect your information as described in our Privacy Policy.

We may disclose your information:
– To Paraguay government authorities as required
– To licensed professionals working on your case (with your consent)
– When legally required by court order or regulation
– To service providers under confidentiality agreements

You agree we may:
– Use anonymized case examples for marketing
– Collect testimonials (with your permission)

12. COMMUNICATIONS

Electronic Communications: You agree to receive communications via:
– Email to address provided
– WhatsApp or phone to numbers provided
– Website notifications

Official notices sent to your last known contact information are deemed received.

Language: Primary communications are in English and Spanish. Translation accuracy is not guaranteed for informal communications.

13. REFERRAL PROGRAM TERMS (OPTIONAL PARTICIPATION)

– Referral must mention your name during consultation booking

– Reward paid after referred client’s deposit clears ($200 to referrer)

– Referred client receives $100 discount on any package

– No limit on number of referrals

– Both parties must consent to sharing contact information

– We will email you when your referral becomes a client

– Payment via bank transfer, Wise, PayPal, Crypto, or credit toward future services

14. DISPUTE RESOLUTION

Good Faith Negotiation: Before formal proceedings, parties agree to attempt resolution through direct communication.

Mediation: If negotiation fails, parties agree to mediation before litigation.

Arbitration: Disputes not resolved through mediation shall be resolved through binding arbitration in accordance with Paraguay commercial arbitration rules.

Governing Law: These terms are governed by the laws of Paraguay.

Jurisdiction: Parties consent to jurisdiction of Paraguay courts for any legal proceedings.

Exception for Injunctive Relief: Either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.

Arbitration shall be conducted in Asunción, Paraguay, in English or Spanish.

15. FORCE MAJEURE

We are not liable for failure to perform due to circumstances beyond reasonable control, including:

-Government system outages

-Strikes by public officials

-Administrative shutdowns

– Natural disasters
– Government actions or policy changes
– War, terrorism, or civil unrest
– Pandemics or public health emergencies
– Internet or technology failures
– Banking system disruptions

16. GENERAL PROVISIONS

Entire Agreement: These terms, together with our Privacy Policy and Disclaimers, constitute the complete agreement.

Severability: If any provision is found invalid, remaining provisions remain in effect.

No Waiver: Failure to enforce any provision does not waive our right to enforce it later.

Assignment: We may assign these terms to successors or affiliates. You may not assign without our written consent.

Independent Contractor: Nothing creates employment, partnership, or agency relationship.

Survival: Provisions regarding liability, indemnification, confidentiality, and dispute resolution survive termination.

Electronic Signatures: You agree that electronic signatures are binding.

Modification: We may modify these terms by posting updated version with new effective date. Continued use constitutes acceptance.

Notice of Changes: For material changes affecting existing clients, we will provide 30 days notice via email.

We operate primarily as a virtual consultancy. In-person meetings occur at government offices in Asunción during your residency process.

18. ACCEPTANCE

By using our services, you acknowledge that you have:
– Read these Terms & Conditions
– Understand your obligations and our limitations
– Agree to be bound by these terms
– Have authority to enter this agreement

19. US BUSINESS SERVICES

Service Delivery & Professional Handling Model: For US business services, we work with licensed service providers who perform regulated activities:

– LLC Formation: Filed by licensed corporate formation services
– EIN/ITIN Applications: Submitted by licensed tax professionals (CPAs or Enrolled Agents)
– Legal Documents: Prepared by licensed attorneys
– Banking: Guidance only – banks make independent approval decisions
– Payment processor: setup guidance (Stripe, PayPal)
– Virtual business presence: (phone numbers, mailing addresses)
– Living trust formation: handled through licensed estate planning attorneys
– Connection to licensed professionals in your jurisdiction

Our Role:
– Strategy consultation and structure planning
– Documentation preparation and organization
– Direct management of multi-provider workflows
– Integration with Paraguay residency planning
– Guidance on requirements and procedures
– Ongoing support throughout the process

We Do NOT:
– File business formations ourselves
– Submit IRS applications ourselves
– Practice law or provide legal advice
– Prepare US tax returns
– Draft trusts or legal agreements
– Represent you before IRS or government agencies
– Guarantee bank account approvals

No Guarantees: We cannot guarantee:
– State approval of LLC formation
– IRS approval of EIN/ITIN applications
– Bank account approval
– Any specific timeline
– Any particular outcome

Separate Agreements: You will enter into separate service agreements with
licensed professionals for regulated services. We are not liable for their
work, advice, delays, or errors.

Professional Liability: Licensed service providers carry their own professional
liability insurance. We are not responsible for errors or omissions by
third-party professionals.

If you do not agree, do not use our services.

20. MONTHLY TAX COMPLIANCE & IVA SERVICES

IVA FILING AUTHORIZATION: By subscribing to our monthly maintenance package, the Client grants WE PARAGUAY E.A.S. UNIPERSONAL the authority to access their DNIT portal (Marangatú system) and file tax declarations on their behalf based on the information provided by the Client.

Client Documentation Responsibility: The Client is solely responsible for providing all necessary sales and purchase invoices by the 5th day of each month. The Client guarantees the accuracy, legality, and authenticity of all financial data submitted. WeParaguay does not audit the information provided and is not liable for penalties, fines, or interest resulting from:

Incomplete or late documentation provided by the Client.

Inaccurate or fraudulent invoices submitted by the Client.

Unauthorized business activities conducted by the Client within Paraguay.

Scope of Representation: Our role is limited to the administrative filing of tax returns. We do not provide specialized tax planning or audit defense unless specifically contracted under a separate legal agreement.

WeParaguay does not guarantee that the filing of monthly IVA will automatically satisfy the “Economic Solvency” requirements for Permanent Residency; additional documentation (bank statements/titles) may be required as per DNM discretion.
